Terms of Service

These Terms of Service ("Terms") govern your use of the Custom FCP / RMP App ("the Service"), operated by AXELLARIS Limited ("we", "us", "our"), a company registered in New Zealand. By using the Service, you agree to these Terms.
1. Service Description
The Custom FCP / RMP App is a manufacturing compliance platform designed for New Zealand food processors, manufacturers, and exporters. The Service provides digital compliance forms, record-keeping, corrective action tracking, audit report generation, and related tools to support your food safety and quality management obligations.
2. Account Terms
- One account is issued per business entity. Multiple users may be added under a single business account based on your subscription plan.
- You are responsible for maintaining the security of your account credentials. Do not share login details between users. Each user should have their own login.
- You must provide accurate and complete information when creating your account.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old to create an account.
3. Acceptable Use
You agree to use the Service only for lawful compliance recording and quality management purposes. You must not:
- Use the Service to create fraudulent or misleading compliance records.
- Attempt to access other users' data or accounts.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service in any way that could damage, disable, or impair its operation.
- Upload malicious code, viruses, or harmful content.
4. Data Ownership
Your compliance data belongs to you. We do not claim ownership of any records, reports, or content you create using the Service.
You grant us a limited licence to host, store, process, and display your data solely for the purpose of providing the Service to you. This licence ends when you delete your data or close your account.
You may export your data at any time in standard formats (PDF, CSV) from within the platform.
5. Billing and Subscriptions
- Free trial: New accounts include a 30-day free trial with full access to your selected plan. No credit card is required to start the trial.
- Subscriptions: After the trial, the Service is billed on a monthly or annual basis, depending on your selection. Annual plans are billed upfront.
- Price changes: We will notify you at least 30 days before any price increase takes effect. You may cancel before the new pricing applies.
- Cancellation: You may cancel your subscription at any time. Your access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
- Payment processing: All payments are processed securely through Stripe. We do not store your credit card details directly.
6. Service Availability
We provide the Service on a best-effort basis and target high availability. However, we do not guarantee 100% uptime.
- Planned maintenance will be communicated at least 48 hours in advance via email or in-app notification, and scheduled outside peak hours where possible.
- We are not liable for downtime caused by third-party infrastructure providers, internet connectivity issues, or events outside our reasonable control.
- In the event of extended unplanned downtime exceeding 24 consecutive hours, affected accounts may request a pro-rata service credit.
7. Limitation of Liability
To the maximum extent permitted by New Zealand law:
- The Service is provided "as is" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will meet all of your requirements or that it will be error-free.
- Our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- The Service is a compliance tool. It does not replace professional food safety advice, regulatory consultation, or your own obligations under the Food Act 2014 or any other legislation.
8. Intellectual Property
All intellectual property in the Service (including software, design, branding, and documentation) belongs to AXELLARIS Limited. Your subscription grants you a non-exclusive, non-transferable licence to use the Service for your business purposes.
9. Termination
We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or fail to pay for the Service after reasonable notice. In such cases, we will provide you the opportunity to export your data before deletion.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect, by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the New Zealand courts.
